Welcome to Scriptguru Digital Solutions. By accessing or using our services or website, you ("Client", "you") agree to comply with and be bound by these Terms and Conditions.

1. Services Offered

Scriptguru provides IT services including full-time, part-time, and project-based resource models. Deliverables, timelines, and scope will be agreed upon in a written document signed by both parties.

2. Payment Terms

• Advance Payment: 50% of the agreed amount is payable upfront.
• Final Payment: 50% is due at the end of the month or as per agreed invoicing terms.
• Payment Methods: Bank transfer, PayPal, or other verified methods.
• Late Payments: Delays beyond 7 days from invoice date may attract penalties or service suspension.

3. Client Communication

• All communication will be routed through a Scriptguru representative.
• Direct communication with assigned resources is not allowed unless explicitly authorized.
• Scheduled meetings and calls are limited to working hours (Mon-Fri, as per the contract).

4. Work Hours and Availability

• Full-Time: 7 hours/day, 5 days/week
• Part-Time: 4 hours/day, 5 days/week
• Holidays: Saturdays, Sundays, and public holidays observed by Scriptguru
• Urgent requests during non-working hours require prior approval and may incur extra charges.

5. Deliverables and Changes

• Once approved, deliverables cannot be changed without initiating a new document and updated payment terms.
• Mid-project changes will be charged at 50% of the previous deliverable amount (minimum).

6. Confidentiality

Both parties shall maintain the confidentiality of proprietary information exchanged during the term of the contract. This obligation survives termination.

7. Termination

• Either party can terminate the agreement with 30 days' notice.
• Immediate termination is possible in case of material breach.
• All dues become payable upon termination and must be settled within 7 days.

8. Dispute Resolution

• Initial disputes will be resolved via good-faith negotiation within 30 days.
• If unresolved, the matter will proceed to binding arbitration under the Arbitration and Conciliation Act, 1996, with the venue in Dehradun/Haridwar.
• Misconduct, abuse, or harassment of Scriptguru's team is grounds for immediate contract termination.

9. Limitation of Liability

Scriptguru is not liable for any indirect, incidental, or consequential damages arising out of the use of our services.

10. Indemnity

The client agrees to indemnify Scriptguru against any losses or claims arising from misuse, breach, or unlawful use of services provided.

11. Governing Law

These Terms shall be governed by Indian law. Jurisdiction lies with courts in Dehradun/Haridwar.

12. No Partnership

Nothing herein constitutes a joint venture, partnership, or employment relationship. Each party remains independent.

13. Assignment

Neither party may transfer or assign rights without written consent of the other party.

14. Entire Agreement

These Terms and the accompanying service agreements represent the entire understanding between the parties and supersede all previous agreements.
